Memorandum of Understanding (MOU)
Growth Mindset Collaborative (GMC) – Partnership Grant Program
1. Purpose
This Memorandum of Understanding (MOU) outlines the agreement between Growth Mindset Collaborative (GMC), a 501(c)(3) nonprofit, and participating organizations in GMC’s Partnership Grant Program, which shares revenue from SAT/PSAT course sales to support students and youth programs.
2. Program Description
GMC provides access to affordable online SAT/PSAT preparation courses. Organizations share their unique referral links with families. When a family purchases a course through that link, GMC allocates a portion of each sale back to the organization.
3. Revenue Share Structure
A. School, PTO, or Other Local Organization: Receives 50% of total sales generated through its unique GMC referral link.
B. Governing Organization: (e.g., national youth nonprofit, school district with multiple high schools) Receives 35% of total sales, and each participating local branch receives 35% of total sales through its own unique link.
C. Payment Details: Payments are issued by check, sent biweekly or monthly based on the selection made on the Partnership Form. Organizations provide mailing information for check delivery.
4. Responsibilities of GMC
GMC will:
(1) Provide unique referral links for each participating organization or branch;
(2) Provide real-time tracking access only to the local organization associated with each link;
(3) Allow Governing Organizations to view individual branch links under their umbrella, though no master link is provided;
(4) Maintain accurate records of sales and payments;
(5) Issue payments according to the schedule selected;
(6) Provide optional promotional materials upon request.
5. Responsibilities of the Partner Organization
Partner Organizations will:
(1) Share their unique GMC links with families, members, students, or supporters;
(2) Ensure the correct link is communicated for accurate tracking;
(3) Provide accurate mailing information for check delivery;
(4) Understand that payments follow the biweekly or monthly schedule selected on the Partnership Form.
6. Term and Termination
This MOU remains in effect until either party provides written notice to end the partnership. Either party may terminate the agreement at any time with written notice.
7. No Legal or Financial Liability
This MOU does not create an employer–employee relationship, joint venture, or legal partnership. Neither party is responsible for the debts or obligations of the other.
